General Terms and Conditions
These are the standard Terms and Conditions of AlignUs, which apply to all services and may be updated from time to time by notification in writing. Where a Quotation is executed by AlignUs and the Client, the Quotation together with these Conditions (together “the Agreement”) will constitute a contract between the parties. Where there is any manifest inconsistency between the provisions of these Conditions and the Quotation, the provisions of the Quotation will apply. The terms and conditions of the Agreement shall apply as between the parties in respect of the matters described in the Quotation to the exclusion of all other terms and conditions (including any terms and conditions that the Client purports to apply). Each Agreement entered into between the parties constitutes a separate distinct contract.
1. Acceptance of Terms

1.2 Unless otherwise agreed in writing, the supply of all Services offered by AlignUs Products and Services Private limited and/or its associates, related parties, successors and assigns (collectively referred to as “AlignUs”) to any persons (hereinafter referred to as “Client”, “you” or “your”) shall be governed by the Terms and Conditions setherein.
2. Payment Terms
2.1 Detailed information regarding our payment terms can be found in the quotation that we will provide to all our clients.
One of our core values lies in maintaining the highest level of integrity with our employees and clients. You can rest assure that AlignUs will continue to support your project until it has been completed, even when full payment has been made. We value your trust in us.
3. Copyrights and Trademarks
AlignUs operates under a paradigm of mutual trust and accountability
3.1 AlignUs only uses valid and original material in all design works. The Client may request for the originals of visual elements used as proof of validity.
3.2 The Client guarantees that they have rightful permission to use all text, graphics, photos, designs, trademarks and other artworks sent to AlignUs for the purpose of inclusion in web pages or other collaterals. The Client agrees to indemnify AlignUs from any claim or suit arising from these elements supplied by the Client.
3.3 Ownership of assembled works will be transferred to the Client upon full payment of fees. AlignUs retains the right to showcase these elements in part, or in full as part of its portfolio.
4. Work Schedule and Completion Date
The AlignUs system emphasizes efficiency through clear communication.
4.1 AlignUs will work expediently towards completing the project and specifications within a reasonable timeline. However, at its option, AlignUs may extend the due date by a period not exceeding 21 days by submitting written notice to the Client.
4.2 If the project is delayed for above 30 calendar days after or without notice from the Client, AlignUs has the right to terminate the project and bill the Client forthe work performed. Any prior payment by the Client is non-refundable.
4.3 If project is terminated, AlignUs has the right to bill the Client for the work performed. Any prior payment by the Client is non-refundable.
4.4 Any delay or non-performance of the quotation specifications beyond the reasonable control of the performing party shall not constitute a breach in contract, provided the delayed party has taken reasonable measures to notify the other party in writing.
5. Project Reactivation Fee
If a project is placed on hold, delayed, or becomes inactive (e.g., due to lack of feedback, delayed responses, unresponsiveness, or pending items such as approvals, content, images, or other necessary materials), the following condition shall apply:
The project can be resumed once for free if it is reactivated within 30 calendar days.
If the inactivity exceeds 30 days, a reactivation fee of INR 500 + GST will be required before work can continue.
This fee covers administrative time, resource reallocation, and project onboarding required to continue the project after a prolonged pause.
6. Changes in Project Specifications
6.1 Should the Client desire to amend specifications after both parties have accepted the quotation, the Client is required to submit a written request detailing the desired changes.
6.2 AlignUs will review and submit a written response to the request within 5 working days.
6.3 The Client acknowledges that all changes from the quotation terms will result in revisions to the timeline and cost of the project.
7. Limited Liability
7.1 In no event shall AlignUs be held responsible for any damages, including but not limited to loss of revenue or profit in any way arising out of services performed by AlignUs.
7.2 AlignUs is not liable for any failure or delay resulting from physical impediments, national or industry-wide changes to business policies beyond the control of AlignUs.

3. Content Preparation
In the event that the Client does not engage copywriting or copy editing services from AlignUs will not be responsible for altering, correcting or proofing all forms of web content.

5. Work Schedule and Completion Date
The AlignUs system emphasizes efficiency through clear communication.
5.1 AlignUs will work expediently towards completing the project and specifications within a reasonable timeline. However, at its option, Aligus may extend the due date by a period not exceeding 21 days by submitting written notice to the Client.
5.2 In the event that the Client has a specific deadline to meet, this deadline will be written into the quotation specifications and additional loading fees will apply.
5.3 A successful completion of website requires cooperation from the Client, as we require information, contents and approval at various stages of the development work. During any stage, if we are unable to get response or support from the Client, we will send out a Weekly Reminder. The project will be put permanently on hold once we have sent out 3 reminders, and AlignUs will have the right to re-allocate resources when the Client is ready to restart the project. AlignUs also reserves the right to send out any invoices for work completed but put permanently on hold due to the Client’s non-support.

8. Authrorization
By engaging Aligus as an independent contractor to carry out specifications listed in this quotation, the Client hereby authorizes AlignUs to:
Write and upload files to hosting facilities provided by AlignUs or the Client
Set up Google Analytics account;
Submit the website to the search engine for purpose of promoting the Client’s website; and
Retain passwords for purpose of logging on the backend of the Client’s website
9. CMS Training
AlignUs believes in providing excellent customer service from conceptualization to development.
9.1 As such, we provide a complimentary training session so that our Clients can maximize the functions of their newly developed web site.
9.2 To keep the session productive and streamlined, the training will be capped at a maximum length of 2 hours and the maximum number of attendees will be capped at 3.
9.3 An Easy-To-Follow CMS Instruction Manual will also be sent to the Client.
10. User Acceptance Testing
10.1 Upon completion of programming, AlignUs will provide the Client with a demo site URL for the client to carry out User Acceptance Testing before the final upload of website to the Client’s domain
10.2 AlignUs is not liable for any failure or delay resulting from physical impediments, national or industry-wide changes to business policies beyond the control of AlignUs.
11. Liability
11.1 In no event shall AlignUs be held responsible for any damages, including but not limited to loss of revenue or profit in any way arising out of services performed by AlignUs.
11.2 AlignUs is not liable for any failure or delay resulting from physical impediments, national or industry-wide changes to business policies beyond the control of AlignUs.
12. Termination of Agreement
Notice of cancellation from the Client is required to be delivered in writing.
12.1 There is a minimum cancellation fee equivalent to 20% of the total contract price should the Client opt to cancel the project after signing of contract. This takes into consideration the resources set aside by AlignUs as well as Administrative Work done, including Website Questionnaire and Invoice.
12.2 AlignUs reserves the right to bill pro rata for work completed through the date of cancellation:
$600 daily for design work.
$600 daily for technical work.
$600 daily for other services, including but not limited to copywriting and marketing.

2.2 The contract is construed in a commercially reasonable manner, and the working hours and fees quoted for each module represent the complexity in terms of functional requirement to be delivered. If there are any particular modules or functional requirements, which are of high importance to the client, these would have been highlighted and details will be included in this contract.
2.3 In view of conflicts (in terms of functional requirement of each module) arising after endorsement of this contract, the onus is on AlignUs to either provide a separate contract with details of agreed functional requirements or deliver a reasonable and industry acceptable standard for the module in conflict.
2.4 The Client acknowledges that all changes or addition of project requirements will result in revisions to the timeline and cost of the project.

Returns, Exchanges and Refunds
9.1 AlignUs recognizes that all businesses are unique and operate differently. As such, business practices are different both across and within industries. The page for returns, exchanges and refunds provided by AlignUs is a template, and will be used if the Client does not indicate otherwise.
9.2 If the Client has specific policies to implement with regards to returns, exchanges and refunds, the Client will have to provide the necessary as AlignUs will not be crafting such policies from scratch.
Payment Gateways
Depending on the project requirements, 3rd party payment gateways may be involved in building an Ecommerce website or application.
10.1 Any unforeseen limitations of such 3rd party payment gateways are beyond the control of AlignUs. AlignUs will not be held responsible for any downtime of payment gateways.
Liability
11.1 In no event shall AlignUs be held responsible for any damages, including but not limited to loss of revenue or profit in any way arising out of services performed by AlignUs.

Code Ownership
3.1 Should it be deemed necessary by the Client, the codes can be handed over at an additional cost for use once all previous invoices are fully settled, on the sole condition that the codes are utilized only for use for further development of the project.
3.2 The code will not be re-sold or duplicated for other projects.

Creative Writing
2.1 Our Standard Copywriting services do not cover creative writing or extensive content research beyond the scope stated.
2.2 Content created will be based on the information provided by the Clients, and AlignUs’S Copywriters will develop the content according to the project’s requirements.

Working Process
4.1 Our working process is detailed in our Process Guide PDF that is sent to all our clients.
4.2 Upon confirmation of the IDEAS document and sitemap, any further changes to the sitemap or addition of pages will be chargeable at $200 per page.
Additional Work and Revisions
As writing is a creative process and subject to the Clients’ preference, AlignUs understands that there may be multiple drafts and revisions required. AlignUs caters for an adequate amount of revisions based on the signed quotation and project requirements.
5.1 Any Additional Copywriting performed that is not in the original scope as agreed upon in the initial quotation will be charged at $200 per page.
5.2 Any additional revisions or drafts are chargeable at $300 per revision.

6.2 Full payment of Copywriting charges will be invoiced when Final Copy is approved.

Termination of Agreement
8.1 If the Client chooses to terminate the assignment after the Final Copy is presented, the Client is still subject to full payment of the Copywriting fees.
Search Engine Marketing (SEM) Terms & Conditions
These are the abridged Terms and Conditions of AlignUs’s Search Engine Marketing (SEM) service, which may be updated from time to time by notification in writing. Where a Quotation is executed by AlignUs and the Client, the Quotation together with these Conditions (together “the Agreement”) will constitute a contract between the parties. Where there is any manifest inconsistency between the provisions of these Conditions and the Quotation, the provisions of the Quotation will apply. The terms and conditions of the Agreement shall apply as between the parties in respect of the matters described in the Quotation to the exclusion of all other terms and conditions (including any terms and conditions that the Client purports to apply). Each Agreement entered into between the parties constitutes a separate distinct contract.
Acceptance of Terms
1.1 Please read these Terms and Conditions before (“Signing up”) on the Quotation. By (“Signing up”) you are agreeing to be bound by these Terms and Conditions.
1.2 Unless otherwise agreed in writing, the supply of all Services offered by AlignUs Products and Services Private limited and/ or its associates, related parties, successors and assigns (collectively referred to as “AlignUs”) to any persons (hereinafter referred to as “Client”, “you” or “your”) shall be governed by the Terms and Conditions set herein.
Payment Terms
2.1 Detailed information regarding our payment terms can be found in the quotation that we will provide to all our clients.

Authorization
3.1 If the Client has an existing Google Ad account, Client is to grant AlignUs access to Google Ads and any other relevant aspects of the SEM Campaign
Performance Guarantees
4.1 AlignUs guarantees to place a percentage of advertisements on top of Google’s Search Engine Results Pages (SERPs) of google.com.sg (pages from Singapore).
4.2 AlignUs does not provide any guarantee of lead generation
4.3 Effectiveness of the ad campaign is largely impacted by the advertising budget that is proposed by AlignUs. Should the Client refuse to accept AlignUs’s recommended advertising budget, AlignUs will not be held responsible if the performance is unsatisfactory.
Commencement of Advertisement Campaign
5.1 The Advertisement campaign will only officially commence upon receipt of payment from the client.
Advertisement Budget
6.1 AlignUs will not pay the recurring advertisement budget in advance on behalf of the Client.
6.2 Should the advertising budget be exhausted before payment is made, AlignUs will not be responsible for any decline in campaign performance and AlignUs will only resume the campaign when payment is received.
Campaign Commencement
7.1 Before the execution of the campaign, AlignUs will submit the SEM Proposal to the Client for approval. AlignUs will not proceed with the campaign without approval from the Client.
7.2 In the event that the Client’s proposed amendments are not in line with recommendations from AlignUs, AlignUs will provide a written explanation detailing the opposition.
7.3 Throughout the process, the Client will have the right to proceed with their desired changes. However, AlignUs will not be held responsible for any unsatisfactory performance of the SEM campaign.
Deliverables
8.1 Upon approval of the SEM proposal from the client, AlignUs will set up the SEM campaign within 30 days.
8.2 AlignUs will also prepare and send a report detailing the results of the SEM Campaign to the Client during the first week of every month.
Auto-termination Clause
9.1 If an invoice is not paid within 30 days, AlignUs reserves the right to terminate the SEM service.
Search Engine Optimization (SEO) Terms and Conditions

Authorization
3.1 The Client is to grant AlignUs access to ftp/cpanel/CMS and any other relevant aspects of the Website. The Client should do so by giving their AlignUs Consultant the correct log in details.
3.2 If, within one month of signing of this quotation, the Client prefers not to share Website access as per above with AlignUs; the Client may opt for AlignUs to send him/ her a separate document with instructions on how they or a representative appointed by them is to upload the relevant material for SEO. Client is to adhere to the instructions as they are conveyed in the document
Performance Guarantee
AlignUs guarantees to rank a percentage of the key phrases on page 1 of google.com.sg (pages from Singapore) within the milestone periods stated in the quotation, measured from onsite implementation. In the event that the percentage is not met, AlignUs will provide SEO services free of charge until that performance milestone is hit.
4.1 Performance guarantee will not apply under the following circumstances:
Changes are made to the Website by parties other than AlignUs that adversely affect Search Engine rankings of the Website (as determined by AlignUs).
The Website goes offline for reasons not caused by AlignUs.
The client engages, or has previously engaged other SEO activities that negatively affect the Website.
Google updates its algorithm, and corresponding changes proposed by AlignUs to accommodate this update are not implemented by client.
Work is delayed through circumstances outside AlignUs’s control.
4.2 Ranking is defined by keywords appearing in any of the following of the Search Engine Results Page (SERP)
